These Service Terms and Conditions govern the professional relationship between Engaging UX Design and any client who engages our UX design, web design, web development, app development or related digital services. By signing a project contract or paying the Project Initiation Fee, the client confirms they have read and agreed to these terms.

1. Definitions

2. Services Offered

Engaging UX Design offers the following services, structured around three project plans:

Basic Website — from €799

Business Website — from €2,499

Enterprise Website — from €4,999

Optional add-ons are available for all plans including foundational SEO setup, logo design, domain and hosting setup, and ongoing maintenance and support. Prices for add-ons are provided in the project summary.

3. Project Process

All projects follow a structured milestone-based process:

  1. Stage 1 — Getting to Know Your Project (Free): Client completes a questionnaire. Engaging UX Design reviews requirements and provides a project summary and estimated investment. No commitment is required.
  2. Stage 2 — Project Commitment: Client approves the summary and pays the Project Initiation Fee. A tailored project contract is prepared.
  3. Phase 1 — Strategy and Structure: Kickoff meeting, site architecture, and UX wireframes. Requires written client approval before proceeding.
  4. Phase 2 — Design and Prototype: High-fidelity design and clickable Figma prototype. Requires written client approval before proceeding.
  5. Phase 3 — Build and Launch: Development, testing, and launch. Final payment required before publishing.

4. Pricing and Payment

All prices are stated in EUR.

The milestone payment structure is as follows:

Invoices are payable within 30 days of the invoice date; this payment term is part of the agreement. If an invoice is not paid within this term, a one-time late-payment surcharge of 5% of the outstanding amount is charged. If the client pays the full remaining balance of the agreement in one payment, including after a phase has started, a 5% discount applies to that payment. Engaging UX Design reserves the right to suspend work where payment is overdue by more than 14 days, and to archive the project entirely if it remains inactive for more than 60 days. See section 10 for full suspension, forfeiture and restart terms.

5. Client Obligations

The client agrees to:

6. Intellectual Property

Upon receipt of full payment of all outstanding invoices, the client receives full ownership of the custom deliverables created for their project, including design files and the delivered website or application.

Engaging UX Design retains ownership of all deliverables until full payment is received. Engaging UX Design retains the right to display completed work in its portfolio and to reference the client relationship in marketing materials.

Third-party assets, fonts, plugins, stock images or licensed software remain subject to their respective licence terms. The client is responsible for licence compliance after project handover.

7. Confidentiality

Both parties agree to keep confidential all non-public information shared in connection with a project. Engaging UX Design will not disclose client business information, project details or communications to third parties without consent, except where required by law or necessary for project delivery. The client agrees to treat Engaging UX Design's pricing, methodologies, templates and processes as confidential.

8. Warranties and Disclaimers

Engaging UX Design warrants that services will be delivered with reasonable skill and care, in conformance with the agreed specifications. We do not warrant specific business outcomes including but not limited to conversion rates, search engine rankings, traffic volumes or revenue growth, as these depend on factors outside our control.

The client warrants that all content and materials provided for inclusion in the project are owned by the client or that the client has the right to use them, and that their use will not infringe any third-party rights.

9. Limitation of Liability

To the maximum extent permitted by Dutch law, Engaging UX Design's total liability arising from or in connection with a project shall not exceed the total fees paid by the client for that specific project. Engaging UX Design shall not be liable for any indirect, consequential, special or incidental loss including loss of revenue, loss of data, loss of profits or business interruption.

10. Suspension, Forfeiture and Termination

10.1 Suspension for non-payment

If an invoice remains unpaid for more than 14 days past its due date, Engaging UX Design reserves the right to suspend all work on the project until payment is received. During suspension, all timelines, deadlines and reserved capacity are paused. The client remains liable for the outstanding invoice and any associated late-payment interest and reminder fees set out in section 4.

10.2 Forfeiture and archival of inactive projects

If a project remains inactive for more than 60 consecutive days due to client inaction — including but not limited to unpaid invoices, lack of response to communications, or failure to provide required content or approvals — the project will be archived and any unpaid future phases will be considered forfeited. This means:

The restart fee compensates Engaging UX Design for re-onboarding, schedule re-allocation, and re-familiarisation with the project context. Once paid, a new timeline is agreed and work resumes from the next unpaid phase.

10.3 Voluntary termination by the client

The client may terminate the project at any time by providing written notice (email is sufficient) to legal@engaginguxdesign.com. Upon termination:

10.4 Termination by Engaging UX Design

Engaging UX Design may terminate the project by providing written notice if the client materially breaches these terms (including persistent non-payment), if the client requests work that is unlawful or unethical, or if the working relationship has irretrievably broken down. In such cases, work completed up to the date of termination is invoiced and payable on the same conditions as section 10.3.

11. Force Majeure

Neither party shall be liable for delays or failure to perform caused by circumstances beyond their reasonable control, including but not limited to illness, natural disaster, government action, or disruption to third-party services. The affected party will notify the other as soon as practicable and the parties will agree a revised timeline in good faith.

12. Governing Law

These Service Terms are governed by Dutch law. Any disputes will first be addressed through direct negotiation. If unresolved within 30 days, disputes shall be submitted to the competent court in the district of Oost-Brabant, the Netherlands.

13. Amendments

These Service Terms may be updated from time to time. The version in force at the time of signing a project contract applies to that project. Updated terms apply to new projects from the date of publication.
